Freddie Mac Assumptions Need a Five-Day Delivery Plan
Current Chapter 41 couples pre-closing draft and signature deadlines with a five-Business-Day post-closing package for recordation, title, UCC, and opinions.
Freddie Mac's current Multifamily Seller/Servicer Guide Chapter 41 places legal-document timing on both sides of a Transfer of Ownership closing. For a transfer requiring Freddie Mac consent, the Servicer must submit draft documents for Freddie Mac review at least 10 Business Days before the anticipated closing. Documents that Freddie Mac must execute are due by email, when feasible, or in hard copy at least five Business Days before the transfer date.
The calendar continues after closing. Within five Business Days after the Transfer of Ownership, the Servicer must electronically deliver the required closing package. For a property-interest transfer, that package includes a certified copy of the recorded transfer deed or other transfer evidence, a certified recorded Memorandum of Loan Assumption and Modification Agreement, a signed settlement statement, and the required title endorsement or new policy.
The title evidence must identify the new borrower, reflect recordation of the assumption agreement, use the assumption agreement's recording date as the policy effective date, and show no intervening liens from the original first-lien policy through the transfer. If recording-office delay prevents timely delivery of a copy bearing the recording data, the title company or closing attorney may certify a copy as a true and correct copy of the recorded or filed original, but the final recorder-stamped copy must follow when available.
For an entity transferee, the package also reaches certified filed UCC financing statements, a Servicer-counsel statement addressing a UCC search dated no earlier than 30 days before the transfer, and applicable opinions of new borrower and guarantor counsel addressed to Freddie Mac. A single delivery plan should assign an owner and due date to every draft, signature, recording, title, UCC, opinion, fee, and final-original item before the closing date is fixed.
