Freddie Mac Opinions Need a Two-Threshold Calendar

Current Chapter 29 separates a $40 million non-consolidation trigger from a $100 million opinion-review trigger and adds a three-Business-Day submission clock.

Freddie Mac's current legal-document page lists the Borrower and SPE Equity Owner's Opinion dated April 20, 2026, together with the Guarantor's Opinion, Opinion Letter Guidelines, and non-consolidation review requirements. For a non-SBL Mortgage, Guide Chapter 29 requires the Final Delivery Package to include opinions covering the Borrower and any SPE Equity Owner, any Guarantor, and any other opinion required by the Guide, Letter of Commitment, early rate lock application, or Freddie Mac.

The first financial threshold applies to non-consolidation. Subject to the Guide's TEL exception, a Non-Consolidation Opinion is required when the original principal balance is at least $40 million, when a cross-collateralized and cross-defaulted mortgage pool reaches at least $40 million in the aggregate, or when the Letter of Commitment or early rate lock application otherwise requires one. Every required Non-Consolidation Opinion must be a 'would' opinion rather than a 'should' opinion and must receive Freddie Mac review and approval before origination.

The second threshold controls advance review. For any Mortgage with an original principal balance of at least $100 million, the Seller/Servicer must submit all Opinion Letters for Freddie Mac review and approval at least three Business Days before the scheduled origination date. The same timing applies to specified Seniors Housing licensure opinions. The submission must mark additions and deletions from the applicable form, and Seller/Servicer's counsel must provide an analysis and recommendation.

All Opinion Letters must contain Freddie Mac's required use-and-reliance provision without modification, and the commitment or early rate lock may call for additional conclusions. An opinion calendar should identify every covered entity, guarantor, SPE owner, property and governing-law jurisdiction, principal balance, pool aggregation, TEL or supplemental status, commitment-specific conclusions, form version, non-consolidation reviewer, redline, analysis, three-Business-Day deadline, final delivery owner, and supporting documents.
