Freddie Mac Outstanding Items Need One Approval Log

Freddie Mac's current final-delivery rules make unresolved approvals a certification and purchase-readiness issue.

Freddie Mac's Multifamily Seller/Servicer Guide, Chapter 32, addresses the Final Delivery Package and the Seller's Certification of Outstanding Items. The Guide requires the certification to list all matters that the Purchase Contract says Freddie Mac must review and approve before loan origination or before loan purchase.

If Freddie Mac has not approved one of those matters when the certification is executed, the Seller must identify it on the certification. That makes the document more than a routine closing form: it is the point where the deal team's approval tracker must reconcile with the formal delivery package.

Chapter 32 also states that delivery of the Final Delivery Package is treated as the Seller/Servicer's representation and warranty that it complied with the section. Freddie Mac reviews the package after final delivery and funds on the requested date only when the applicable Purchase Contract, product chapter, and Final Delivery Instructions conditions have been satisfied.

For borrower-side counsel, one approval log should track every commitment and Purchase Contract item, the responsible party, source document, submission date, Freddie Mac response, approval evidence, and whether approval is required before origination or purchase. Before the certification is signed, the log should be reconciled with lender's counsel so unresolved items are accurately disclosed and supporting approvals are easy to locate.
