HUD Electronic Closings Need a Final Docket Owner
HUD's electronic closing protocols make checklist order, file naming, and final document delivery part of the closing calendar.
HUD's Office of General Counsel identifies its Electronic Closing Protocols, effective March 4, 2024, as the standard operating protocols for electronic FHA multifamily and healthcare closings. The protocols cover the legal, technical, and administrative handling of electronic records and signatures; they do not replace the underlying program requirements or HUD forms.
For draft submissions, HUD calls for a transaction-specific closing checklist in Microsoft Word. The checklist should account for special conditions, secondary financing, and other project-specific documents. Electronic files should be named to match the checklist's exhibit numbers and document names so reviewers can open them in checklist order, with title-related materials separated as the protocols direct.
The closing-day handoff has a firm lead time. At least two business days before closing, unless another program requirement applies, lender's counsel must provide HUD's Closing Coordinator and Closing Attorney a secure link to a complete electronic set of Final Executed Documents, apart from approved trailing documents. HUD says the linked set should not contain known placeholders or prior drafts that are unacceptable for closing, and each document must be a separate, properly labeled file.
Borrower-side counsel can make that handoff easier by assigning one owner to reconcile the execution list, opinion exhibits, title and survey items, and approved trailing documents against the final checklist. The team should resolve file names, missing signatures, and version differences before the delivery deadline, then confirm with lender's counsel which materials remain outstanding.
